Terms of Service for FORGE Marketing Agency

Welcome to FORGE, a digital marketing agency that provides a range of services to clients. The following Terms of Service (“Terms”) govern your use of our website and services, and constitute a binding agreement between you and FORGE. By accessing or using our website and services, you agree to be bound by these Terms.

Services

We provide a range of digital marketing services, including lead generation, paid social marketing, PPC marketing, email marketing, social media marketing, & website design. Our services are provided on a client-by-client basis and may be subject to additional terms and conditions that are specific to each project.

Payment

Our fees for services are specified in a separate agreement between FORGE and the client. Payment is due in accordance with the payment terms specified in that agreement. If a client fails to make payment when due, FORGE reserves the right to suspend or terminate its services to that client.

Intellectual Property

All intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, and patents, in the services provided by FORGE are owned by FORGE or its licensors. No rights in such intellectual property are granted to the client, except as specified in a separate agreement between FORGE and the client.

Confidentiality

FORGE acknowledges that it may receive confidential or proprietary information from the client in the course of providing its services. FORGE agrees to maintain the confidentiality of such information and to use it only for the purpose of providing its services.

Warranty and Disclaimer

FORGE represents and warrants that it has the right and ability to provide its services and that its services will be performed in a professional and timely manner. FORGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

FORGE shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with its services. FORGE’s total liability to the client shall not exceed the total fees paid by the client to FORGE for its services.

Termination

Either party may terminate its relationship with the other party upon written notice if there is material breach of external agreement. Upon termination, FORGE shall return to the client any confidential information in its possession and shall discontinue use of the client’s proprietary information.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or applicable laws. We will post any changes to our website and encourage you to review these Terms regularly to stay informed of our terms of service.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Washington County, UT. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the Moxon Law.
